Key Definitions
The contract is between “Colt Security” (the Company) and the named customer as per the signatory named overleaf (the Subscriber).
The period of this Maintenance Contract lasts for 12 consecutive months from the date of signature, by the Subscriber, applied to this contract. This contact can be cancelled with a full month’s notice by either the Company or the Subscriber on receipt of written notice.
Terms of Payment
The full cost of installation/take over charge (minus any deposits paid) must be made to the Company, along with the first year’s Maintenance Contract payment, upon completion of scheduled works. The Company is not liable for service interruptions caused by third parties that may affect the operation of an installed system and in those cases full payment must also be made without delay.
Should payments not be made upon installation the Company may decide to take away installed equipment and or materials without being liable for any loss or damage.
The continuance of the Maintenance Contract runs annually after the first year with each year being paid fully in advance to activate the service. This is non-refundable and cannot be transferred without the consent of the Company.
Subscriber Obligations
The following actions will render this non-refundable contract invalid:
- Tampering, altering or interference in anyway, whatsoever, beyond the reasonable care and operation of installed devices.
- Failure to make allowances for the Company to take steps to rectify defects, as reported, within reasonable time frames.
- Defaulting on any payment, in full or in part.
In these above events, the Company can opt to cease their obligations without prejudice and will no longer become liable to provide their services. The Company will also have a right to act on the recovery of any financial sum owed or property installed under these circumstances.
The following are Subscriber obligations as part of this contract:
- All defects to be raised to the Company in writing.
- Any building or structural modifications must be made known to the Company, in writing, that may affect system performance.
- Any redecoration or superficial works required as a result of installation will be the Subscriber’s responsibility including costs.
- The Subscriber will ensure that any light, hot water, electricity and any other reasonable use of utility is provisioned to facilitate the security system’s installation, operation and maintenance processes.
Company Obligations
The following are Company obligations as part of the contract:
- To perform a single inspection per year on the Subscriber’s installed device (two in the case of a Police monitored installation).
- All batteries relating to sensors and control panels will be replaced as required for no charge.
- An uninterrupted 7 days a week service, with 24-hour emergency cover, can be provided and will be available.
- No labour charges will be incurred to the Subscriber for services under the Maintenance Contract.
- Only trained and competent engineers will be deployed to carry out proposed maintenance works and installations.
- All personnel representing the Company will apply our Health and Safety Policy, at all times, and make responsible use of Personal Protective Equipment (PPE).
- The Company reserves the right to raise additional charges when works and services requested lie clearly outside the terms of the Maintenance Contract, these could include additional works, labour costs and replacement parts.
- We will respond to issues caused by third parties (such as internet providers) but all call outs and associated costs incurred through a third party cause will be chargeable outside the terms of this contract.
Warranty Period of Goods
All parts installed by the Company will be guaranteed for two years from the date of installation.
General
Please ensure that your property is fully insured against all risks. It is the responsibility of the Subscriber to undertake full comprehensive insurance for all goods within the protected property. (Please liaise with your insurance company as to their requirements).
Annual Charge Review And Amendment
For the first two years after the installation date, the Company will not raise any Maintenance Fees agreed for this contract. After such time, the Company reserves the right to increase Maintenance Fees by giving a month’s notice, in writing, to the Subscriber detailing both the new fee and the date from which it will be effective.
Force Majeure
Neither the Company nor the Subscriber will be liable for delay in performing obligations or for failure to perform obligations if the delay or failure results from any event beyond the parties control including, but not limited to, Act of God, war, invasion, hostilities (whether war be declared or not), civil war, riot, flood, lightning, explosion, accident, industrial dispute, or other force majeure.
Transfers
The contract is binding between the Company and the named Subscriber and may not be transferred without prior written consent being obtained from the Company. It may, however, be assigned by the Company without the prior consent of the Subscriber.
Notices
Written notification of changes as detailed in this document must be passed via email to the Company observing any prescribed notice periods (usually one month).
Complete Agreement
The Terms set out herein are the only Terms of this Agreement and no other Terms shall be imported or implied by reason of any printed matter or publication by the company.
